The ideal candidate will have (2-5 years) firm experience working on investment adviser issues, preferably private funds. They are looking for someone who will be a self-starter, ready to be part of a dynamic, growing team. Ideal candidate has a firm knowledge of Investment Advisers Act, Investment Company Act, CFTC & related regulatory matters as they relate to the management & operation of private equity funds, hedge funds & other private funds, and would also have substantive, relevant experience in the formation & operation of hedge funds & fund management companies. The candidate should have experience with regulatory issues in the context of transactions such as mergers, acquisitions, spin-outs, joint ventures & other transactions involving investment advisers. Responsibilities include advising clients regarding investment adviser registration and regulation, primarily in the private fund context, including preparation and amendment of Form ADV and compliance programs; regulatory reviews of disclosure and contractual documentation including marketing and offering materials, fund partnership and management agreements, and agreements with placement agents and other service providers; Investment Advisers Act, Investment Company Act, securities law and other regulatory advice relating to the marketing and offering of private fund interests; advising clients with respect to Investment Advisers Act, Investment Company Act and other regulatory issues in connection with matters involving mergers, acquisitions, spin-outs, joint ventures and other transactions; advising hedge fund manager clients with respect to fund and management company structuring issues, including drafting Offering Memoranda, Partnership Agreements, general partner and management company Operating Agreements, Investment Management Agreements, Subscription Agreements and related documents; negotiating and drafting in connection with investments to be made in third-party hedge funds, including side letters; and advising clients with respect to securities law filing obligations.
